Ethics Management Code

In alignment with the spirit of the Ethical Management Charter, the SHINSUNG GROUP upholds
the principles of a free-market economy through fair competition, fulfills its social responsibilities to build a society
based on mutual trust and cooperation among companies, customers, and partners,
and establishes Ethical Management Regulations as guiding principles for ethical decision-making to advance as a world-class company
through transparent governance, customer value creation, and contributions to national and societal development.

Chapter 1 Responsibilities and Obligations to Customers

Customer satisfaction shall be regarded as the highest priority in all value-based judgments, with a commitment to respecting customer opinions and delivering superior products and services, thereby creating optimal customer value

Article 1 Customer Respect and Value Creation

1. Customers shall be provided with the highest quality products and services at reasonable prices
2. Acknowledging that customer development is integral to corporate growth, the company shall prioritize customer perspectives in decision-making and ensure the implementation of measures to uphold customer satisfaction.
3. The company shall actively consider customer suggestions and demands, and is obligated to promptly and equitably resolve complaints and disputes.

Article 2 Protection of Customer Rights.

1. Customer information shall not be disclosed or used beyond its intended purpose without prior consent
2. The company shall respect the customer’s right to accurate information and prevent the dissemination of false or misleading facts.
3. The company shall ensure customer safety in all business operations.

Article 3 Compliance with Laws and Regulations

1. We strictly adhere to all domestic and international laws, regulations, and self-governing rules related to business operations and transactions.
2. We do not pursue profits through unethical or unfair means that violate corporate ethics or business standards.

Article 4 Contribution to Social Responsibility and Development

1. We ensure equal employment opportunities for all, prohibiting discrimination based on race, education, gender, religion, origin, age, disability, or marital status.
2. 고We contribute to national and social development through job creation, honest tax reporting, and the generation of legitimate profits as a sustainable enterprise.
3. We fulfill our social responsibilities through initiatives in education, culture, and welfare.

Article 5 Prohibition of Political Involvement

1. Employees may freely exercise their political rights as individuals, including supporting candidates or political parties, provided it does not represent the company's position.
2. The company refrains from political activities within the workplace but may express its stance on policies directly affecting its interests.
3. The company does not provide illegal donations or indirect support to political parties or candidates.

1. We are committed to protecting nature, maintaining a clean environment, and complying with all environmental laws and regulations.
2. We will not engage in activities that harm the environment and will actively work to prevent pollution and contamination.

Article 7 Protection of Shareholder Interests

1. We create sustainable profits through efficient management, ensuring the preservation, protection, and growth of shareholder assets.
2. We respect shareholders’ rights to information, legitimate demands, and official resolutions, while maintaining transparency in management and adhering to certified accounting standards.

Article 8 Fair Competition

1. In alignment with the principle of free competition, we respect market economic order both domestically and internationally, earning customer trust through excellence in products, services, quality, and price.
2. We engage in fair and ethical competition, refraining from harming competitors' interests or exploiting their weaknesses for unjust purposes or methods.

Article 9 Fair Trade

1. Equal opportunities are provided to all qualified companies to participate as partners.
2. Partner registration and selection are conducted reasonably, based on objective and fair evaluation criteria.
3. All transactions are conducted fairly and on an equal footing, with sufficient prior consultation regarding terms and procedures.
4. Information necessary for transactions is exchanged in a timely manner through appropriate processes, and transaction outcomes are evaluated and improved mutually based on fair standards.

Article 10 Pursuit of Mutual Development

1. We strive for mutual development by providing diverse support and cooperation for the business activities of our partner companies.
2. We collaborate with partner companies to foster a transparent business environment and establish fair trade practices.

Article 11 Prohibition of Unfair Practices

1. We do not abuse our superior position to impose unreasonable demands, taking the lead in cultivating a fair and transparent business culture.
2. We refrain from engaging in unethical actions that violate social norms or customs in interactions with partner companies.
3. Partner companies may face disadvantages in transactions if they offer gifts, entertainment, or monetary benefits to employees.

Chapter 4 Basic Ethics for Employees and Officers

Executives and employees establish the right values that follow the belief in honesty and fairness as the foundation of the company, and strive to ensure that each individual can fulfill the given mission through self-development and fair performance of duties.

Article 12 Basic Ethics

1. Share the company's vision and values, and faithfully carry out the mission assigned to each person.
2. Have pride and self-esteem under the awareness that they are the owners of the company, and maintain an honest and sincere attitude.
3. Each employee strives to maintain personal dignity and honor with the attitude that they represent the company.
4. Employees improve their own qualifications and abilities by implementing autonomous self-development plans.

Article 13 Fair performance of duties

1. All officers and employees shall perform all duties honestly and fairly, and shall strive to create a sound corporate culture.
2. No tangible or intangible benefits of any kind that may hinder fairness in relation to duties shall be provided or requested from stakeholders, nor shall such benefits be provided.
3. Any actions or relationships that conflict with the interests of the company and individuals shall be avoided.
4. The company's assets shall be maintained and managed, and the company's information and secrets shall be protected.
5. Unethical acts shall not be forced or personal interests pursued by taking advantage of superior positions or relationships in the workplace.

Article 14 Prohibition of monetary transactions between employees

1. Sexual harassment in the workplace can cause victims to lose their motivation to work, reduce work productivity, and even damage the company’s image and economic losses. Therefore, thorough preventive management, including regular education, must be implemented.
2. Do not engage in any words or actions that violate good morals or cause sexual shame, or any words or actions that constitute sexual harassment, or that could be misconstrued as sexual harassment.

Article 16 Prohibition of Workplace Bullying

1. Do not take any action that causes physical or mental suffering to other workers or worsens the working environment by taking advantage of your superior position or relationship at work beyond the appropriate scope of work.
2. If workplace bullying occurs, immediately investigate it and take appropriate measures according to the wishes of the victimized employee. If the employer reports the occurrence of workplace bullying or claims damage, no disadvantageous treatment will be given to the employee.

The company respects all executives and employees as individuals, treats them fairly based on their abilities and achievements, and strives to create an environment where their creativity can fully flourish.

1. Each employee is respected as an independent and equal individual.
2. The company strives to ensure employees achieve pride and fulfillment in their work, grounded in a sense of ownership.
3. Necessary conditions are created, including system establishment, education, and guidance, to enable employees to perform their duties appropriately.

Article 18 Fair Treatment

1. Equal opportunities are provided to employees based on their abilities and qualifications.
2. Fair and objective standards are applied to evaluate and reward employees' abilities and achievements.
3. Equal opportunities are offered to help employees enhance their skills and competencies.

Article 19 Establishing a Creative and Harmonious Organizational Culture

1. The company respects employees' privacy and fosters a mature organizational culture built on mutual trust and understanding.
2. It creates an environment that encourages creative thinking and autonomous actions among employees.
3. The company actively supports the development of employees' capabilities and nurtures talent with a long-term perspective.
4. Employees do not discriminate or form factions based on irrelevant factors, such as familial ties, educational background, gender, religion, place of origin, age, disability, marital status, nationality, or race.
5. mployees must not abuse their authority to benefit relatives or acquaintances. As a general rule, employees with familial ties must not work within the same team or in key interrelated departments.

Article 20 Pleasant and Safe Work Environment

1. Employees are required to strictly adhere to safety regulations to ensure the safety of all individuals involved in the company’s business activities and to prevent accidents.
2. The company strives to provide a clean and comfortable work environment for all employees.

Supplementary Provisions
Article 1 Effective Date

These Ethical Management Regulations shall take effect on August 1, 2020.

Article 2 Retroactive Application

TThis Code of Ethical Management does not apply retroactively to actions taken prior to its implementation.

Article 3 Rewards and Disciplinary Actions

Acts that contribute significantly to promoting ethical management shall be duly rewarded, and discipline acts that violate ethical management.

Article 4 Interpretation

In the event of any ambiguity or dispute regarding the interpretation of these regulations, inquiries shall be directed to the Ethical Management Office for clarification. Should further resolution be necessary, the matter shall be submitted to the Ethical Management Committee, whose decision shall be deemed final.

Article 5 Relationship with Other Regulations

These ethical management regulations shall not take precedence over current laws, but they take precedence over internal company regulations.
